CONTENT SUBMISSION & LICENSE AGREEMENT
This Content Submission & License Agreement ("Agreement") governs content voluntarily submitted to TWOSU NEWS / Truckers Wall of Shame Unchained ("TWOSU News").
PLEASE READ THIS AGREEMENT CAREFULLY. SECTION 16 THROUGH SECTION 21 CONTAIN A BINDING INDIVIDUAL ARBITRATION AGREEMENT, A CLASS AND COLLECTIVE ACTION WAIVER, AND A JURY-TRIAL WAIVER. SECTION 21 EXPLAINS HOW YOU MAY OPT OUT OF ARBITRATION WITHIN 30 DAYS.
1. OWNERSHIP
You retain any copyright or other ownership interest that you lawfully hold in the submitted video, photograph, audio recording, document or other content ("Submitted Content").
This Agreement grants TWOSU News a license. It does not transfer ownership of your copyright to TWOSU News.
2. LICENSE GRANTED TO TWOSU NEWS
By accepting this Agreement and submitting the Submitted Content, you grant TWOSU NEWS / Truckers Wall of Shame Unchained a worldwide, non-exclusive, perpetual, irrevocable to the fullest extent permitted by applicable law, sublicensable license to host, store, copy, reproduce, edit, trim, crop, resize, caption, translate, excerpt, adapt, modify for formatting or editorial purposes, publish, publicly display, publicly perform, distribute, transmit, promote, advertise, monetize, license to third parties, and otherwise use or feature the Submitted Content, in whole or in part, in connection with TWOSU News reporting, programming, promotion and distribution.
3. PLATFORMS AND MEDIA
The license includes use on TWOSU-owned or operated websites, social-media accounts, video channels, newsletters, streaming services, applications, broadcasts and other digital, electronic or media formats now known or later developed.
This includes, without limitation, TWOSU News distribution through platforms such as Facebook, YouTube, Instagram, TikTok and other current or future distribution platforms.
4. 50/50 NET REVENUE SHARE
Unless TWOSU News and the submitting rights holder separately agree otherwise in writing, TWOSU News will pay the submitting rights holder fifty percent (50%) of Net Revenue actually received by TWOSU News that is directly attributable to TWOSU News's monetization or third-party licensing of the Submitted Content.
"Net Revenue" means money actually received by TWOSU News after deduction of platform revenue shares, payment-processing fees, refunds, chargebacks, taxes collected or remitted, and third-party licensing, collection or distribution fees directly associated with that revenue.
General website, page, channel, subscription, sponsorship or advertising revenue that cannot reasonably be attributed to the Submitted Content is not included in attributable Net Revenue.
If the Submitted Content is not published, is not monetized, or generates no attributable Net Revenue actually received by TWOSU News, no revenue-share payment is due.
TWOSU News may provide reasonable accounting information relating to directly attributable revenue upon reasonable request.
5. EDITING AND EDITORIAL USE
You authorize reasonable editorial and production modifications, including trimming, cropping, resizing, captioning, narration, commentary, graphics, blurring, formatting, translation, excerpts and combining the Submitted Content with other reporting or material.
TWOSU News will not knowingly use those editorial modifications to create a materially false representation of the submitted event.
6. CREDIT AND ANONYMITY
TWOSU News may credit you using the name, business name, company name, social-media handle or other public credit you provide.
If you request anonymity, TWOSU News may publish or use the Submitted Content without publicly identifying you, subject to applicable legal obligations, court orders, law-enforcement requirements and legitimate editorial considerations.
7. YOUR RIGHTS REPRESENTATIONS
You represent that:
(a) you own or control the rights reasonably necessary to submit the Submitted Content and grant this license;
(b) you have obtained any co-owner permission necessary to grant this license;
(c) you are not knowingly granting TWOSU News rights that conflict with an existing exclusive license or agreement that prevents this submission; and
(d) information you provide concerning ownership and your authority to license the Submitted Content is truthful to the best of your knowledge.
You agree to notify TWOSU News promptly if you become aware of a genuine ownership or licensing dispute concerning the Submitted Content.
8. THIRD-PARTY RIGHTS
You should not submit content that you know you do not own or have authority to license.
Your submission does not itself establish that you possess every possible copyright, privacy, publicity, confidentiality or other right that may apply to the Submitted Content.
TWOSU News retains editorial discretion regarding whether and how Submitted Content will be used.
9. NO OBLIGATION TO PUBLISH OR MONETIZE
TWOSU News is not required to publish, distribute, promote, license or monetize Submitted Content.
All editorial and publication decisions remain within TWOSU News's discretion.
10. NO GUARANTEE OF REVENUE
Submission of content does not guarantee payment.
Revenue-share payments arise only when qualifying attributable Net Revenue is actually received by TWOSU News under Section 4 of this Agreement.
11. ELECTRONIC ACCEPTANCE AND SIGNATURE
By affirmatively selecting the agreement acceptance controls, typing your full legal name, electronically drawing or otherwise entering your signature in the TWOSU News signature field, accepting that signature, and selecting "SUBMIT TO TWOSU NEWS," you intend those electronic actions to:
(a) authenticate this Agreement;
(b) constitute your electronic signature;
(c) demonstrate your intent to be bound by this Agreement; and
(d) create an electronic record of your assent.
You agree that the electronic signature you provide is your signature or a signature you are authorized to provide.
12. ELECTRONIC AGREEMENT RECORD
TWOSU News may preserve an electronic record associated with the submission, including the Agreement version, cryptographic hash of the Agreement text, your typed legal name, captured electronic signature, Agreement date, server acceptance timestamp, submission identifier, rights confirmation, acceptance confirmation and technical information reasonably necessary to document the electronic transaction.
13. AGREEMENT RECEIPT
After a successful submission, TWOSU News will attempt to send a copy of this Agreement and the associated electronic transaction information to the email address supplied by you.
You are responsible for providing an accurate email address and maintaining access to that address.
Failure or delay in email delivery does not by itself invalidate an otherwise successfully completed submission or electronic acceptance.
14. SUBMISSION RECORDS
TWOSU News may retain submission information and records for legitimate editorial, licensing, accounting, legal, rights-management, security and recordkeeping purposes.
15. INFORMAL DISPUTE RESOLUTION
Before either party initiates arbitration, that party must first provide the other party with written notice describing the dispute and the requested relief.

The parties agree to make a reasonable, good-faith effort to resolve the dispute informally for at least thirty (30) days after receipt of the written notice before initiating arbitration.
Either party may seek relief in an appropriate small-claims court as provided below without completing arbitration.
16. AGREEMENT TO BINDING INDIVIDUAL ARBITRATION
Except for matters eligible for small-claims court and except where applicable law prohibits arbitration, you and TWOSU News agree that any dispute, claim or controversy arising out of or relating to this Agreement, the Submitted Content, use or non-use of the Submitted Content, attribution, licensing, monetization, revenue sharing, payments, electronic signature, or the parties' relationship concerning the submission will be resolved through final and binding individual arbitration rather than through a lawsuit in court.
This arbitration provision is intended to be interpreted broadly.
The Federal Arbitration Act ("FAA"), 9 U.S.C. §§ 1 et seq., governs the interpretation and enforcement of this arbitration agreement to the extent applicable.
17. ARBITRATION ADMINISTRATOR AND PROCEDURE
Unless the parties mutually agree to another arbitration administrator, arbitration will be administered by the American Arbitration Association ("AAA") under the AAA rules that properly apply to the particular dispute and transaction at the time arbitration is initiated.
If AAA is unavailable or unwilling to administer the arbitration and the parties cannot agree on a substitute administrator, a court of competent jurisdiction may appoint an arbitration administrator or arbitrator as permitted by applicable law.
The arbitrator will have authority to award any individual remedy or relief that would otherwise be available to the individual claimant under applicable law, subject to the limitations of this Agreement and applicable law.
The arbitrator must issue a written decision sufficient to explain the essential findings and conclusions on which the award is based when required by the applicable arbitration rules or law.
18. LOCATION AND REMOTE PARTICIPATION
The arbitration may be conducted by telephone, video conference, written submissions, or in person as permitted under the applicable arbitration rules.
If an in-person hearing is reasonably required, the location will be determined under the applicable arbitration rules, taking into account the parties' locations, convenience, fairness and applicable law.
19. ARBITRATION FEES
Filing, administrative and arbitrator fees will be allocated under the applicable AAA rules and applicable law.
TWOSU News will not require an individual submitter to pay arbitration fees in excess of amounts that would make the arbitration agreement legally unenforceable.
The arbitrator may allocate costs or fees when authorized by applicable law or the applicable arbitration rules.
Nothing in this Agreement prevents either party from requesting a fee waiver or other relief available under the applicable arbitration rules.
20. SMALL-CLAIMS COURT EXCEPTION
Either you or TWOSU News may bring an individual claim in a small-claims court of competent jurisdiction if the claim qualifies for that court and remains an individual action.
If a claim initially filed in small-claims court is transferred, removed, appealed or otherwise proceeds outside the jurisdiction of small-claims court, either party may invoke this arbitration agreement to the extent permitted by applicable law.
21. CLASS ACTION WAIVER; COLLECTIVE ACTION WAIVER; JURY-TRIAL WAIVER; ARBITRATION OPT-OUT
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND TWOSU NEWS AGREE THAT CLAIMS SUBJECT TO ARBITRATION WILL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLAIMANT, CLASS MEMBER OR REPRESENTATIVE IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, MASS OR REPRESENTATIVE PROCEEDING.
UNLESS REQUIRED BY APPLICABLE LAW OR AGREED TO IN WRITING BY BOTH PARTIES, THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OF MORE THAN ONE PERSON OR PRESIDE OVER A CLASS, COLLECTIVE, MASS OR REPRESENTATIVE PROCEEDING.
FOR CLAIMS COVERED BY THIS ARBITRATION AGREEMENT, YOU AND TWOSU NEWS UNDERSTAND THAT BY AGREEING TO ARBITRATION EACH PARTY IS WAIVING THE RIGHT TO HAVE THOSE CLAIMS DECIDED BY A JUDGE OR JURY IN COURT.
ARBITRATION OPT-OUT:
You may opt out of Sections 16 through 21 of this Agreement by sending written notice to TWOSU News within thirty (30) calendar days after the date you electronically accept this Agreement.
The opt-out notice must include:
(a) your full legal name;
(b) the email address used for your submission;
(c) your TWOSU News Submission ID, if available;
(d) a clear statement that you are opting out of the arbitration provisions of the TWOSU News Content Submission & License Agreement; and
(e) the date of your notice.

An effective arbitration opt-out applies only to Sections 16 through 21. The remainder of this Agreement, including the content license granted to TWOSU News, remains in effect.
TWOSU News will not retaliate against a submitter solely for timely exercising the arbitration opt-out right.
22. GOVERNING LAW
Except for the arbitration agreement to the extent governed by the Federal Arbitration Act and except where another jurisdiction's law must apply as a matter of law, this Agreement will be governed by the laws of the State of Idaho, without regard to conflict-of-law rules that would require application of another jurisdiction's substantive law.
23. ENTIRE SUBMISSION AGREEMENT
This Agreement constitutes the content-submission agreement associated with the applicable submission unless TWOSU News and the submitting rights holder later enter into a separate written agreement that expressly supersedes or modifies these terms for that content.
24. SEVERABILITY
If any provision of this Agreement is determined to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will continue in effect, except where applicable law requires a different result concerning the arbitration provisions.

Section headings are provided for convenience and do not limit the meaning of the substantive terms of this Agreement.
